Artist Agreement

This Artist Agreement (“Agreement”) sets out the terms on which Kingmichaelbeats LLC distributes and administers music on your behalf. It applies when you submit music to us for distribution.

01Appointment and grant of rights

You appoint Kingmichaelbeats LLC to deliver and administer your recordings on the digital platforms and stores you select. You grant us a non-exclusive license to reproduce, distribute, and make your recordings available for this purpose. This license lasts while your releases are live through us and ends after a takedown is processed.

02You keep ownership

You retain full ownership of your masters, compositions, and copyrights. Nothing in this Agreement transfers ownership of your music to us.

03Your representations and warranties

You confirm that:

• you own or control all rights necessary to distribute the music you submit;
• your content is original or properly licensed and does not infringe anyone’s rights;
• any samples, covers, or third-party content are properly cleared; and
• the metadata and split information you provide are accurate.

04Royalties and payments

We collect royalties earned from the platforms and pay you according to the terms agreed with you. Payments may be subject to minimum thresholds and normal platform reporting delays. You are responsible for any taxes on your earnings.

05Splits and collaborators

Where you set up royalty splits, you are responsible for the accuracy of each collaborator’s share. We pay out according to the split instructions you provide and are not responsible for disputes between collaborators.

06Content standards and metadata

You agree to provide accurate metadata and to follow the content requirements of the platforms we deliver to. We may reject or request changes to submissions that do not meet these standards.

07Takedowns and removals

You may request that we remove your releases, and we will process takedowns within a reasonable time. We may also remove content that violates this Agreement, the law, or a platform’s policies, or in response to a valid third-party or platform request.

08Term and termination

This Agreement continues until you or we end it. On termination, we will initiate takedowns of your active releases; some platforms may take time to fully remove content, and earnings accrued before removal will still be paid to you under the agreed terms.

09Fees

Any fees for distribution or related services are agreed with you directly, including custom-plan quotes.

10Indemnification and liability

You agree to indemnify Kingmichaelbeats LLC against claims arising from your content or your breach of this Agreement. Our liability is limited to the fullest extent permitted by law, and we do not guarantee any particular streams, placement, or revenue.

11Governing law

This Agreement is governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules.

12Changes

We may update this Agreement from time to time. Material changes will be reflected by updating the “Last updated” date above, and continued use of our distribution services means you accept the updated Agreement.
